COLORADO SPRINGS, Colo. - Simtek Corp., a provider of semiconductor memory products, said Friday it will consider a potential acquisition by chip maker Cypress Semiconductor Corp. and other transactions.
On Wednesday, Cypress reported in a Securities and Exchange Commission filing that it contacted Simtek to discuss a possible acquisition of the company. Cypress said it may seek control of Simtek through a merger or acquisition of stock, or may buy one of the company's divisions.
"Simtek has not been contemplating selling the company," said Simtek President and Chief Executive Harold A. Blomquist in a statement released Friday. "However, in response to recent actions by Cypress, we will consider all options."
Blomquist said the company plans to engage an adviser to help it explore an acquisition and other strategic options to maximize long-term shareholder value.
"We are prepared to enter into more serious discussions with Cypress and other potential strategic partners," Blomquist said.
Cypress, which is based in San Jose, Calif., beneficially owns about 3.2 million Simtek shares, representing a 19.3 percent stake in the Colorado Springs, Colo.-based company.
