International law firm Dechert LLP is serving as co-counsel to NORMA Group AG, a German-headquartered global industrial manufacturer and portfolio company of global private equity house 3i Group plc, on its initial public offering on the Frankfurt Stock Exchange.

The IPO's targeted offering size is €386.4 million and represents one of the largest IPOs in Germany since the listing of Brenntag in March 2010. The offering will consist of 7 million new shares from a capital increase and 9 million shares from the holding of the selling shareholders. In addition, around 2.4 million shares are available to cover a possible greenshoe option.

Said Dechert partner and long-time legal advisor to NORMA Group, Berthold Hummel: We have enjoyed working with NORMA on this exciting transaction and are looking forward to its successful debut on the Frankfurt Stock Exchange. Our relationship with NORMA stretches back several years beginning with the leveraged buy-out of Rasmussen/NORMA Group by 3i in 2006, and we are proud to have advised NORMA over the years on its international expansion efforts to become one of the prominent market leaders it is today.

NORMA Group, founded in 2006 through the merger of the German Rasmussen Group founded in 1949 and the Swedish ABA Group, is a strategic development partner and global provider of innovative engineered joining solutions that produces amongst others hose clamps, pipe connections, fasteners, plug-in connectors, hose couplings, and fluid systems.

NORMA Group was recently ranked in the German publication manager magazin among the top-tier of Germany's global market leaders by revenue. Following its merger with Sweden's ABA Group (2006), the acquisition of US-based Breeze Industrial (2007) and the acquisitions of US-based R.G. Ray Corporation and Craig Assembly Inc. (2010) - on all of which Dechert also advised NORMA Group - the combined NORMA Group has subsidiaries in Sweden, the UK, China, Italy, France, Spain, Poland, Czech Republic, Australia, the US, Mexico, Russia, India, Japan, Turkey and Singapore.
