* May name director to represent Relational interests
CHICAGO, Jan 7 - Genzyme Corp (GENZ.O) said Relational Investors LLC, which owns about 4 percent of Genzyme shares, gave conditional agreement to support the Genzyme board's nominees and proposals in 2010.
As part of the agreement, Genzyme said it will appoint Ralph Whitworth, a principal and co-founder of Relational, to the board if Relational requests representation in November 2010.
Relational, a $6 billion private investment fund, last month requested representation on Genzyme's board of directors. (Reporting by Debra Sherman, editing by Dave Zimmerman)
