SALT LAKE CITY, UT -- (Marketwire) -- 08/05/10 -- EnergySolutions, Inc. (NYSE: ES) announced today that it has priced a private offering of $300 million in aggregate principal amount of senior unsecured notes due 2018. The notes will be sold to investors at a price of 98.69% of the principal amount thereof and will bear interest at a rate equal to 10.75% per annum. The offering is expected to close on August 13, 2010.

The notes will be the senior unsecured obligations of EnergySolutions and will be guaranteed on a senior basis by substantially all of its domestic subsidiaries. The net proceeds of this offering, along with the borrowings under a new senior secured credit facility, will be used to refinance all of EnergySolutions' outstanding indebtedness under its existing credit facilities. A portion of the proceeds from the new senior secured credit facility will be held in a restricted cash account to provide for cash-collateralized letters of credit.

The senior unsecured notes are being sold in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and to non-U.S. persons outside the United States under Regulation S under the Securities Act. The senior notes have not been registered under the Securities Act, and unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
