Ultra Clean will pay a purchase price of approximately $99 million and the transaction is expected to close on June 30, 2012, subject to satisfaction of the foregoing conditions.

The company expects fiscal 2012 earnings to be in a range of $1.73 to $1.83 per share, down from prior estimation of $1.75 to $1.85 per share and against analysts' estimation of $1.87 per share.
