The Complaint charges that Emcore and certain of its officers and directorsviolated federal securities laws by issuing materially false and misleadingstatements concerning the Company's business and financial condition.Specifically, the Complaint alleges that Emcore's public statementsregarding its order backlog were false and misleading because theyoverstated the value of the order backlog in Emcore's terrestrial solarenergy division. Those misstatements and omissions, resulted in anartificially inflated price for Emcore's common stock during the ClassPeriod.

On March 18, 2008, the price of Emcore's common stock dropped over 23% onnews that Emcore's largest customer, Green and Gold Energy ("GGE"), whichaccounted for $78 million of Emcore's $86 million backlog in terrestrialsolar technology, would not be able to afford those transactions.
